DIRECT MUSIC LICENSE AGREEMENT
This Direct Music License Agreement (“Agreement”) is entered into on {{license_date}}, by and between:

2. Grant of License
Licensor hereby grants Licensee a {{exclusivity}} license to synchronize and use the Licensed Music in connection with the approved project described below, subject to the selected tier and the limitations set forth in this Agreement.
This grant includes the synchronization rights in the musical composition and the master use rights in the sound recording, solely for use in the approved project.
No rights are granted beyond those expressly stated herein.

Tier 4 — Basic / Small-Scale Use
Limited-reach or personal projects.
Use exceeding the selected tier requires a separate or upgraded license.
4. Project Information

This license applies solely to the above-named project. Any new or materially different project requires a separate license.
5. Fee
Licensee agrees to pay a one-time license fee of:

Payment constitutes full consideration for the rights granted under this Agreement.
Except for public performance royalties payable through applicable performing rights organizations, no additional royalties are owed under this Agreement.
6. Restrictions
Licensee may not:
Resell, sublicense, or redistribute the Licensed Music as a standalone file
Claim ownership of the composition or sound recording
Register the Licensed Music in any content identification or fingerprinting system
Use the Licensed Music in a manner that is unlawful, defamatory, or misleading
The Licensed Music must remain embedded within the approved project.
7. Ownership
Licensor retains all ownership and intellectual property rights in the Licensed Music. No ownership interest is transferred under this Agreement.
8. Credit (Optional)
Where technically feasible, Licensee agrees to provide credit as follows:
“Music: {{track_title}} by {{producer_name}}”
Failure to provide credit does not invalidate this license.
9. Warranties & Indemnification
Licensor represents and warrants that they control the rights necessary to grant this license, including the synchronization rights in the musical composition and the master use rights in the sound recording.
Licensor further represents and warrants that:
They control 100% of the master recording copyright in the Licensed Music.
They control 100% of the musical composition copyright (publishing rights) in the Licensed Music.
No third-party publisher, co-writer, administrator, label, or other rights holder approval is required to grant this license.
Licensor acknowledges that these representations are material to the Licensee’s decision to enter into this Agreement.
Licensee agrees to indemnify Licensor against any use of the Licensed Music outside the scope of this Agreement.
Licensor agrees to indemnify Licensee against any breach of the above representations.
10. Breach & Termination
If Licensee materially breaches this Agreement, including but not limited to exceeding the licensed scope of use, the license granted herein shall terminate automatically upon written notice of breach.
Upon termination, Licensee must immediately cease use of the Licensed Music and remove it from all future distributions of the project where commercially reasonable.
Termination does not limit any other rights or remedies available under applicable copyright law.
11. Limitation of Liability
Except for willful misconduct or breach of the ownership representations set forth in Section 9, neither party shall be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement.
In no event shall either party’s total liability under this Agreement exceed the license fee actually paid by Licensee.
12. Governing Law
This Agreement shall be governed by the laws of the United States.
13. Acceptance & Signature
By purchasing and downloading the Licensed Music, Licensee agrees to all terms herein.
